Conference "A Register for Security Rights in Movables: Lessons from Comparative Law" on January 8-9th, 2026

On behalf of the Center for Comparative Corporate Finance (C3FL), we cordially invite you to our conference, which will be held in English.

The Austrian Government plans to introduce a register for security rights in movable property. Such a register could facilitate the financing of Austrian businesses and improve their access to much-needed liquidity. But how should this register look? Which features are indispensable, which merely practical? Which rules should be avoided?

Valuable lessons can be drawn from the experiences of other European countries that have sim-ilar registers. To benefit from their experience, we will bring together experts from academia and practice of different EU Member States. They will present their national registers, highlighting strengths and weaknesses. This will form the basis for the ensuing discussion. The objective is to identify best practices that could inform a future Austrian act.

Conference on "Legal Persons as Directors and Officers" on 11 December 2025

The Centre for Comparative Corporate Finance Law (C³FL) is pleased to announce the international interdisciplinary conference "Boards Inc. - Legal Persons as Directors and Officers".

The conference intends a critical assessment of the question whether company law should allow legal persons to act as directors and officers of a company. For that purpose, it brings together economic, comparative and historical approaches to corporate law from various jurisdictions. In offering their critical perspectives, speakers are also invited to include into their contribution a regulatory and literature review of their home jurisdiction. Building on this comparative survey, which will include both jurisdictions that have been traditionally allowing “Incorporated Boards” and those which don’t, participants will discuss the merits of regulatory reform.

Conference “Electronic Securities and Book-Entry Securities: Between Reform and Reality” November 6-7, 2025

This event will present reform proposals for securities law in the digital age and discuss their actual political feasibility.

Can securities be issued digitally? What rules apply to their transfer, pledging, and acquisition in good faith? How is the relationship to securitized objects structured? Experts from Germany, Austria, Switzerland, and Liechtenstein will discuss these questions and present the issues and solutions in their respective legal systems.

The conference will take place on November 6 and 7, 2025, in the attic of the Juridicum Vienna (Schottenbastei 10–16, 1010 Vienna).

Conference on "Legal Arbitrage in Corporate Finance" from 16-17 June 16, 2025

The Centre for Comparative Corporate Finance Law (C³FL) cordially invites you to the conference on “Legal Arbitrage in Corporate Finance”.

The main objective of this conference is to investigate the scope of legal arbitrage in the field of corporate finance. For that purpose, attention shall be drawn to regulatory differentials of mandatory rules, default and altering rules of corporate finance law on its various doctrinal levels such as contract law, property law and security interest law, capital markets law as well as insolvency law and restructuring law. That sets the stage for a revitalized policy discussion of those rules, while also putting into question the conflict of laws rules governing individual corporate finance arbitrage choices.

Die flexible Kapitalgesellschaft - Zeitenwende in der Unternehmensfinanzierung

The Centre for Comparative Corporate Finance Law (C³FL) in cooperation with the University of Innsbruck (Chair Alexander Schopper) and WU Vienna (Chair Georg Eckert), is organising the conference ‘Die Flexible Kapitalgesellschaft - Zeitenwende in der Unternehmensfinanzierung’ on 4 December 2023 on the top floor of the Juridicum. The event serves to critically assess the draft law on the creation of a new form of corporation in Austria. The conference will critically analyse the draft law and in particular deal with comparative law and legal economic aspects.
